Affiliate Terms and Conditions — United Kingdom

These Terms and Conditions apply to the BlindsMATE Trade Partner Programme operated by Team360Media, trading as BlindsMATE (“BlindsMATE”, “we”, “us” or “our”).

By applying for, joining, or participating in the BlindsMATE Trade Partner Programme, you agree to these Terms and Conditions.

1. Purpose of the Programme

The BlindsMATE Trade Partner Programme is a trade-focused affiliate programme for individuals and businesses who wish to recommend the BlindsMATE app to blinds, window-covering and related trade professionals.

Approved Trade Partners may earn commission on qualifying sales generated through their unique affiliate link or other approved tracking method.

2. Eligibility

The Programme is intended for trade-relevant partners, including but not limited to:

  • blinds fitters;

  • blinds advisors;

  • window-covering professionals;

  • trainers;

  • suppliers;

  • trade influencers;

  • business coaches;

  • trade group owners;

  • relevant publishers or content creators.

We reserve the right to approve, reject, suspend or remove any applicant or Trade Partner at our sole discretion.

Participation in the Programme does not create an employment, agency, franchise, joint venture or partnership relationship between you and BlindsMATE.

3. Application and Approval

To join the Programme, you must complete the application process provided by BlindsMATE, including any application form, Systeme.io registration process or other onboarding method we provide.

We may ask for additional information before approving your application.

You must provide accurate and up-to-date information, including your name, business name, contact details, payment details and any promotional channels you intend to use.

4. Affiliate Links and Tracking

Once approved, you will be issued with a unique affiliate link or tracking method.

You are responsible for using the correct link or tracking method when promoting BlindsMATE.

Commissions are tracked using Systeme.io or any other platform we may use from time to time.

We are not responsible for commissions that are not tracked because of:

  • incorrect links;

  • broken links;

  • deleted cookies;

  • browser restrictions;

  • customer refusal of tracking;

  • customer use of another affiliate link;

  • customer purchase through a different route;

  • technical issues outside our reasonable control.

Our tracking records will be the primary evidence used to determine whether a commission is payable.

5. Qualifying Sales

A qualifying sale is a genuine purchase of a BlindsMATE product or subscription by a new customer who has been referred through your approved affiliate link or tracking method.

A sale will not qualify for commission if:

  • the customer cancels before payment is received;

  • the payment fails;

  • the sale is refunded;

  • the payment is charged back;

  • the sale is fraudulent or suspicious;

  • the customer is already an existing BlindsMATE customer;

  • the sale is generated by self-referral;

  • the sale breaches these Terms;

  • the sale was generated using misleading, unlawful or unauthorised marketing.

Where a product includes a free trial, commission will only become payable after the customer has made a successful paid purchase or paid subscription payment.

6. Commission Rates

Commission rates will be stated on the Programme page, in your affiliate dashboard, or in written communication from BlindsMATE.

Unless otherwise agreed in writing, the current commission structure is:

  • Essentials lifetime licence: 30%]

  • Pro monthly subscription: 30%

  • Pro annual subscription: 30%

  • Business monthly subscription: 30%

  • Business annual subscription:30%

We may change commission rates at any time by giving notice to Trade Partners.

Commission changes will not normally affect valid commissions already earned before the change takes effect.

7. Payment of Commission

Commissions are payable only after the sale has been confirmed, payment has cleared, and any applicable refund, cancellation or chargeback period has passed.

We apply a 30 Day payment delay to protect against refunds, failed payments, chargebacks or suspected misuse.

Commission payments will be made using the payment method we make available, which may include bank transfer, PayPal, Wise or another suitable method.

You are responsible for ensuring your payment details are accurate and up to date.

We may apply a minimum payout threshold of £30. If your earned commission is below the threshold, it will roll over until the threshold is reached.

We may withhold or cancel commission where we reasonably believe a referral is invalid, fraudulent, misleading, unlawful or in breach of these Terms.

8. Refunds, Chargebacks and Cancellations

If a customer receives a refund, reverses payment, cancels before becoming a paying customer, or raises a successful chargeback, any related commission may be cancelled, deducted from future payments, or reclaimed if already paid.

9. Acceptable Promotion

You may promote BlindsMATE through lawful, honest and trade-relevant channels, including:

  • your website;

  • social media;

  • email marketing, where lawful;

  • trade groups, where permitted by group rules;

  • YouTube, TikTok, LinkedIn or similar platforms;

  • blogs, articles or reviews;

  • direct trade referrals;

  • approved paid advertising, where we have given permission.

All promotional activity must be professional, accurate and consistent with the BlindsMATE brand.

You must not make claims about BlindsMATE that are false, exaggerated, misleading or unsupported.

You must not claim that BlindsMATE guarantees any specific income, business growth, customer conversion rate, legal compliance or error-free measuring outcome.

10. Advertising Disclosure

You must clearly disclose your affiliate relationship whenever you promote BlindsMATE.

Your disclosure must be clear, visible and understandable before a person clicks a link or makes a purchase decision.

Examples of acceptable wording include:

  • “Affiliate link — I may earn commission if you buy through this link.”

  • “I’m a BlindsMATE Trade Partner and may earn commission from qualifying sales.”

  • “Ad / affiliate link.”

You must comply with all applicable advertising rules, including the UK CAP Code, ASA guidance, platform rules and any equivalent rules in the country where your promotion is published or viewed.

11. Prohibited Promotion Methods

You must not:

  • use spam or unsolicited marketing;

  • send unlawful marketing emails or texts;

  • scrape or misuse personal data;

  • post in online groups where affiliate links are not allowed;

  • use misleading reviews or fake testimonials;

  • pretend to be an independent customer if you are promoting as a Trade Partner;

  • impersonate BlindsMATE or any member of the BlindsMATE team;

  • register domains, social media names or accounts that could be confused with official BlindsMATE channels;

  • bid on “BlindsMATE”, misspellings of BlindsMATE, or other protected brand terms in paid search without written permission;

  • use cookie stuffing, forced clicks, hidden links, bots, fake leads or automated traffic;

  • offer unauthorised discounts, bonuses, cashback or incentives;

  • make any statement that damages the reputation of BlindsMATE;

  • promote BlindsMATE on illegal, hateful, adult, violent, discriminatory, misleading or otherwise unsuitable websites or platforms.

12. Email Marketing and Data Protection

If you use email, messaging, lead generation or direct outreach to promote BlindsMATE, you are responsible for complying with all applicable data protection and electronic marketing laws, including UK GDPR and PECR where relevant.

You must have a lawful basis for using personal data.

You must not provide us with personal data collected unlawfully.

You must honour unsubscribe requests, objections and suppression requests.

You must not add people to a mailing list or contact list without proper permission or lawful authority.

If you collect leads for BlindsMATE, you must be transparent about who is collecting the data, how it will be used, and whether it will be shared with BlindsMATE.

13. Brand Materials

We may provide logos, images, videos, copy, product descriptions, screenshots or other promotional material.

You may use approved BlindsMATE materials only for the purpose of promoting BlindsMATE under this Programme.

You must not alter the BlindsMATE logo, branding, app screenshots or promotional material in a misleading or damaging way.

You must stop using BlindsMATE materials immediately if your participation in the Programme ends.

All BlindsMATE intellectual property remains owned by BlindsMATE or its licensors.

14. Your Own Content

You are responsible for any content you create, publish or distribute.

You must ensure that your content is lawful, accurate, non-infringing and not misleading.

You grant BlindsMATE permission to reference or share your BlindsMATE-related promotional content for Programme administration, reporting, brand protection and promotional purposes, unless you ask us not to.

15. Customer Relationship

Customers referred through the Programme are customers of BlindsMATE.

We are responsible for providing the BlindsMATE product, licence access, customer support and product updates in accordance with our customer terms.

You must not make commitments to customers on our behalf unless we have authorised you in writing.

You must not collect payment for BlindsMATE products.

16. Taxes and Records

You are responsible for declaring and paying any tax, National Insurance, VAT or other obligations arising from commissions you receive.

If you are VAT registered, you are responsible for notifying us and providing any required VAT information.

You are responsible for keeping your own financial records.

We may request information reasonably required for payment, accounting, fraud prevention, compliance or tax purposes.

17. Confidentiality

During your participation in the Programme, you may receive non-public information about BlindsMATE, including sales information, pricing plans, product plans, commission arrangements, launch information, customer data or business strategy.

You must keep confidential information confidential and use it only for the purpose of participating in the Programme.

This obligation continues after your participation ends.

18. Monitoring and Compliance

We may monitor affiliate activity, traffic sources, promotional content, sales behaviour and compliance with these Terms.

You agree to provide reasonable information if we ask you to verify your promotional methods or traffic sources.

If we reasonably believe you have breached these Terms, we may suspend your account, withhold commission, remove you from the Programme, or take any other action we consider appropriate.

19. Suspension and Termination

Either you or BlindsMATE may end participation in the Programme at any time.

We may suspend or terminate your participation immediately if we believe you have:

  • breached these Terms;

  • acted dishonestly;

  • misled customers;

  • damaged the BlindsMATE brand;

  • breached advertising, data protection or marketing laws;

  • generated fraudulent or low-quality referrals;

  • engaged in conduct we consider unsuitable for the Programme.

After termination, you must stop using your affiliate links, promotional materials and BlindsMATE branding.

Valid unpaid commissions earned before termination may still be paid, unless they relate to a breach of these Terms or are otherwise invalid.

20. Changes to the Programme

We may update, pause, close, restructure or replace the Programme at any time.

We may also change commission rates, payout rules, eligibility criteria, promotional rules, platforms or tracking systems.

Where reasonably possible, we will give notice of material changes.

Continued participation after changes take effect means you accept the updated Terms.

21. Liability

The Programme is provided on an “as available” basis.

We do not guarantee that you will earn any commission or income.

We are not liable for indirect loss, loss of profit, loss of business, loss of goodwill, loss of data, or loss caused by third-party platforms, payment processors, tracking systems, outages or technical issues.

Nothing in these Terms limits or excludes liability where it would be unlawful to do so.

22. Indemnity

You agree to indemnify BlindsMATE against any losses, claims, complaints, costs, damages or expenses arising from:

  • your breach of these Terms;

  • your unlawful marketing activity;

  • your misuse of personal data;

  • your misleading statements;

  • your infringement of third-party rights;

  • your unauthorised use of BlindsMATE branding;

  • your failure to disclose your affiliate relationship.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Programme.

Schedule 2 — Example Affiliate Disclosure Wording

Trade Partners must clearly disclose that they may earn commission.

Suggested wording:

Website or blog:
“This page contains affiliate links. If you buy BlindsMATE through my link, I may earn commission at no extra cost to you.”

Social media post:
“Ad / affiliate link — I’m a BlindsMATE Trade Partner and may earn commission from qualifying sales.”

Email:
“I’m a BlindsMATE Trade Partner. If you purchase through my link, I may receive commission.”

Video:
“This video includes my BlindsMATE affiliate link. I may earn commission if you buy through it.”

Schedule 3 — Plain-English Partner Rules

To remain in the Programme, Trade Partners must:

  1. Be honest about BlindsMATE.

  2. Clearly disclose affiliate links.

  3. Use only lawful marketing methods.

  4. Avoid spam and unsolicited personal marketing.

  5. Respect group and platform rules.

  6. Use approved branding responsibly.

  7. Avoid false claims or income promises.

  8. Refer genuine trade customers.

  9. Keep payment and contact details up to date.

  10. Protect the reputation of BlindsMATE.
